Seller Program Terms
Version seller-terms-2026-10
These terms are the agreement between you and AttainSoft LLC, a Texas limited liability company ("AttainSoft", "we"), for the AttainSoft studio seller program. You accept them by ticking the box in the seller application form. They take effect on the day we confirm by email that you are approved, and they last until you or we end them.
The Attain OS Seller Program is run separately, under the rules published at attainos.com/sell. These terms cover the studio program only.
1. Your role
You introduce businesses and founders who may need software. AttainSoft talks with them, writes the scope and the quote, signs the contract, collects payment and delivers the work. You may join the first call.
You have no authority to act for AttainSoft. You don't quote prices, promise features or delivery dates, make offers, sign or accept anything, or collect money on our behalf.
2. Independent contractor
You take part as an independent contractor. This collaboration creates no employment relationship, partnership or joint venture.
You decide when, where and how you work, and you use your own phone, computer and other tools. There are no sales targets and no required training; product briefings are optional. You may represent other products, as long as they don't compete with ours.
You pay nothing to take part: no fees and nothing to buy, ever. You cover your own expenses, and you are paid by commission only (no base pay, draw, advance or benefits). There is no commission for recruiting other sellers.
3. Who can take part
You must be 18 or older and live in the United States (except California, Massachusetts and New York City; Puerto Rico counts as the United States) or in the Dominican Republic. Tell us if you move. If you move somewhere the program is not open, we may pause new introductions until it is.
You confirm that you are not on a US sanctions list and that you don't live in a country under comprehensive US sanctions.
4. Introductions and credit
Introduce a business in writing: send an email to [email protected] with the business copied, or ask the business to name you in its project form.
The first seller to introduce a business in writing gets the credit if that business makes its first payment within 90 days of the introduction. A business that was already our client, or already talking with us before your introduction, is not credited; if that applies, we tell you within 10 business days of your introduction. Introducing your own business, or one you own or control, is not credited.
5. Commission
You earn a percentage of everything a credited client pays AttainSoft in its first 12 months: build fees, weekly fees and, for a prototype after sign-off, the $49/month preservation fee within those 12 months. Commission is calculated on payments actually collected, without sales taxes, and minus refunds and chargebacks.
Your rate depends on how many paying clients you brought in over the last 12 months (a rolling period): 1–2 paying clients, 10%; 3–5 paying clients, 15%; 6 or more paying clients, 20%. A paying client is a business you introduced that has made at least one collected payment in the last 12 months.
When you reach a new rate, it applies to payments collected from all of your clients from that month on. Payouts already made are not topped up. A client's 12 months start on the date of its first payment.
6. Payment
We pay monthly, in US dollars, during the month after the payments are collected, with a statement listing each client, the payments collected and your commission. We agree the payout method with you when you are approved.
If a payment is refunded or charged back after we paid you commission on it, that commission is deducted from your next payouts.
You handle your own taxes. Before your first payout, US persons (including US citizens living in the Dominican Republic) give us a Form W-9, and everyone else gives us a Form W-8BEN. Never send tax or bank details through the application form or by unencrypted email; we tell you how to send them.
7. Your duties
Disclose the commission. When you recommend AttainSoft and the paid relationship isn't obvious, say that you earn a commission, for example: "I earn a commission if you become a client." In Spanish content, say it in Spanish.
No spam or robocalls: no autodialed or prerecorded calls, no marketing texts without consent, follow do-not-call rules, and don't bid on the AttainSoft or Attain OS names in search ads.
Be accurate. Describe AttainSoft only with what our published pages say, and make no promises about prices, features, dates or results.
If you are a CPA, disclose the commission to the client in writing, and don't take one for audit or review clients (AICPA rule 1.520).
Follow the laws that apply to you, including anti-bribery, privacy and consumer-protection laws. Keep what you learn about our clients and prospects confidential, and use it only for this program.
8. Ending these terms
You or we may end these terms at any time by email.
After they end, you keep earning commission on clients credited to you before the end date, until each client's 12 months end. The exception: if we end these terms because you seriously broke them (for example spam, misleading claims, not disclosing the commission, or acting for AttainSoft without authority), commission stops on the end date.
9. Changes
We may change these terms by publishing a new version on this page and emailing you at least 30 days before it takes effect. A change never reduces commission on payments collected before it takes effect. If you don't agree with a change, you can end these terms before it takes effect, and section 8 applies.
10. Liability
Neither of us is liable to the other for indirect or consequential damages. AttainSoft's total liability under these terms is limited to the commission owed to you under them.
11. Law, language and contact
These terms are governed by the laws of the State of Texas. We will first try to resolve any disagreement by talking; if that fails, the state or federal courts in Travis County, Texas, decide it.
These terms are published in English and Spanish. If the two versions differ, the version in the language of the form you accepted them in applies.
